TERMS OF SERVICE

1. Introduction

Southwest GS ENT Group, LLC ("SWGS" "we", "our", "us") welcomes you! Please take a moment to stop, get a cup of coffee, and carefully read the following pages, as you have just arrived at our Terms of Service. It should take you around 20 minutes.

SWGS Limited, its subsidiaries and affiliates, and its respective directors, officers, employees, licensees, contractors, lawyers, agents, successors, and assigns are collectively referred to as "SWGS."

"You" or "Your" refers to either: I a registered business that wishes to purchase or has already purchased any product or service made available through the Service, including the business' respective directors, officers, employees, licensees, contractors, attorneys, agents, successors and assigns ("Business Customer"); or ii) a private individual who wishes to purchase or has already purchased any product or service made available through the Service ("Consumer").

These Terms of Service (the "Terms") govern Your use of SWGS's web pages at rejoice.com (collectively, the "Service"). If you're a Business Customer, our Data Processing Agreement (the "DPA"), which you can find at https://www.southwestgsentgroup.com/terms-of-service, governs how we treat the personal data you send us. Unless we execute a second DPA that overrides our DPA, the DPA is an inherent component of the Terms in this circumstance. The DPA does not apply if you are a private person utilizing our services.

Our Privacy Policy also regulates Your use of our Service and describes how we collect, store, and share information collected via our web sites. Please see https://www.southwestgsentgroup.com/terms-of-service for more information.

If you are a Business Customer, we function as a "data processor" for any personal data you send us that belongs to private persons, and the DPA explains our role as well as the security measures we use.

These Terms, our Privacy Policy, and, where applicable, the DPA ("Agreements") are all part of your relationship with us. You affirm that you have read and comprehended the Agreements and that you are willing to be bound by them.

If You do not agree with (or are unable to comply with) the Agreements, You may not use (and must immediately cease using) the Service; nevertheless, please notify us by contacting info@rejoice.com so that we can work out a solution. All visitors, users, and anyone who seek to access or use the Service are bound by these Terms.

Thank you for taking responsibility for your actions.

2. Communications

You will be prompted to pick marketing choices while establishing an account on our Service, which will enable You to subscribe to newsletters, marketing or promotional materials, and other information we may send.

You may unsubscribe from any or all of these messages from us by going to Your Account Settings on the Service or clicking the unsubscribe link at the bottom of each of our marketing mailings.

3. Purchases

If You choose to buy any product or service made available via the Service ("Purchase"), You may be requested to provide certain information related to Your Purchase, such as your credit card number, credit card expiry date, billing address, and shipping information, among other things.

You represent and guarantee that: I you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you provide to us is true, accurate, and complete.

For the purpose of enabling payment and the fulfillment of Purchases, we may utilize third-party services. By providing us with your payment information, you agree that we may share it with these third parties in accordance with our Privacy Policy.

We will not confirm your purchase until you get a confirmation email from us. We have the right to refuse your unauthorized purchase if a product or service is unavailable, or if we suspect fraud or an unauthorized or unlawful transaction.

All prices shown on the Service are denominated in USD. Prices may be shown in the currency that SWGS deems to be your local currency. All prices shown to customers include applicable sales taxes at the rate in effect at the time.

4. Promotions, sweepstakes, and contests

Contests, sweepstakes, and other promotions (collectively, "Promotions") offered via the Service may be governed by rules that are not included in these Terms. Please read the relevant regulations as well as our Privacy Policy before participating in any Promotions. If a Promotion's terms contradict with these Terms, the Promotion's rules will take precedence.

5. Subscriptions

Payments are required for several aspects of the Service. Paid Services are often given on a recurring subscription basis ("Subscription(s)"), but they may also be supplied for a set period of time ("Fixed Term"). Fixed Term Services are invoiced and paid according to payment terms that have been agreed upon individually. Subscription payment conditions do not apply to Fixed Term Services unless otherwise negotiated. Please contact us if you are interested in Fixed Term Services. Billing Cycle: Subscriptions are invoiced in advance on a recurrent and periodic basis. At check-out, on your quotation, or on your invoice, the correct Billing Cycle will be indicated.

Unless You cancel it or SWGS cancels it, your Subscription will automatically renew at the end of each Billing Cycle under the exact same circumstances. If your Subscription is on an annual basis, we will notify You at least five (5) days prior to any automatic renewal so that you may cancel it. You may cancel your Subscription renewal online or by calling our customer service staff.

To complete the payment for Your Subscription, you'll need a valid payment method, such as a credit card. You must submit correct and complete billing information to SWGS, including your full name, address, state, zip code, phone number, VAT number (if applicable), and a valid payment method. By providing such payment information, You immediately authorize SWGS to charge any such payment instruments for any Subscription costs incurred via Your account.

If automated billing fails for any reason, SWGS may (but is not obligated to) send You an electronic invoice requiring You to manually pay the whole amount due for the billing period specified on the invoice by a particular deadline date.

If we are unable to collect a relevant payment from You, we retain the right to discontinue Your Subscription (whether automatically or manually). If this occurs, we will send you an email notifying you of the cancellation of Your Subscription.

6. Get a Free Trial

At our discretion, we may provide a Subscription with a free trial period for a short time ("Free Trial").

In order to sign up for a Free Trial, you may be asked to provide payment information. If you provide billing information when signing up for the Free Trial, SWGS will not charge you until the Free Trial has ended. Unless You cancel Your Subscription before the end of the Free Trial period, You will be automatically charged the appropriate Subscription costs for the kind of Subscription You have chosen on the final day of the Free Trial term.

SWGS maintains the right to I amend the conditions applicable to any Free Trial offer, or (ii) terminate such Free Trial offer, at any time prior to the commencement of Your Free Trial and without notice.

7. Changes in Fees

SWGS has the right to change the Subscription costs at any moment and at its sole discretion. Any changes to Your Subscription prices will be communicated to You at least thirty (30) days in advance, giving You the option to cancel your Subscription before the change takes effect. Any changes to Subscription fees will take effect on the earlier of the thirty (30)-day period's expiration or the end of the then-current Billing Cycle, whichever comes first.

You agree to pay the revised Subscription fee amount if you continue to use a Subscription after a Subscription cost adjustment takes effect.

8. Refunds

If you make a Purchase as a Consumer on the Service, you have the right to seek a refund of the relevant Purchase price at any time within fifteen (15) days of the original date of purchase without giving a justification. We retain the right to only offer a pro-rated refund based on the period of time you have enjoyed the Purchase before seeking a refund since your Purchase may be utilized immediately.

Please contact us using the contact information at the bottom of these Terms to obtain a refund (or partial refund). Any refund will be made as quickly as feasible to the payment method used at the time of purchase.

Business Customers are not eligible for refunds.

9. The Information You Provide

Our Service enables You to produce or generate graphics, videos, or other material, as well as upload, link, store, distribute, and otherwise make accessible certain information, text, graphics, videos, or other material (collectively, Your "Content").

You are responsible for the legality, reliability, and appropriateness of the Content that you publish on or generate via the Service.

By posting or creating Content on or through the Service, You represent and warrant that: I the Content is Yours (You own it) and/or You have the right to use it and grant us the rights and licenses set forth in these Terms; and (ii) the posting of Your Content on or through the Service does not infringe on any person's or entity's privacy, publicity, copyrights, contract rights, intellectual property rights, or other rights. If You violate this agreement, we retain the right to cancel Your account.

You retain all rights to any Content you submit, publish, display, or produce on or via the Service, and you are responsible for ensuring that such rights are protected. We accept no responsibility for any Content you publish or upload on or via the Service, and we disclaim any and all liability in connection with it.

SWGS has the right, but not the duty, to monitor and alter any Content supplied by Service users.

You grant SWGS a non-exclusive, perpetual, transferable, royalty-free, irrevocable, worldwide license to: I deliver the Service to You; and (ii) use the Content for internal research and development and/or to improve the Service and any other SWGS technology by uploading or creating Content on or through the Service. Our Privacy Policy, DPA, or other specific agreement will apply when Content contains personal information about private persons.

You must ensure that Your Content complies with, and assist SWGS in complying with, all applicable legislation and regulatory requirements relating to the use of personal data included in Your Content, including (without limitation) any data protection legislation in force in the USA at the time, including the Data Protection Act 2018 and any successor legislation. You shall collect and use the personal data of all people included in the Content in compliance with all relevant laws, including obtaining any necessary consents or permissions for SWGS to provide the Service.

You are entirely responsible for keeping Your Content secure and backed up.

10. Acceptable Use Policy - Prohibited Uses

You agree not to abuse the Service, SWGS's Content, or Your Content in any way. Any use, access, or interference with the Service, SWS's Content, or content that is not in accordance with these Terms, any other specific agreement between You and SWGS, and relevant laws and regulations is considered a misuse. You will not use the Service, SWGS Content, or Your Content in the following ways:

1. Violates any relevant national or international law or regulation in any manner.

2. For the aim of exploiting, hurting, or trying to exploit or injure children in any manner, including by the exposure of them to improper material.

3. To provide adult entertainment and/or other damning material.

4. To impersonate Southwest GS ENT Group, LLC, a SWGS employee, or any other person or organization, or to try to impersonate them.

5. In any manner that is obscene, defamatory, immoral, insulting, threatening, fraudulent, bullying, discriminatory, or damaging to others, or in any way that is obscene, defamatory, immoral, insulting, threatening, fraudulent, bullying, discriminating, or detrimental to others.

6. To participate in any other behavior that, in SWGS's reasonable opinion, may injure or offend SWGS or other users of the Service or subject them to liability, or that interferes with the Service's security features and restricts or prohibits anyone's use or enjoyment of the Service.

7. Use any robot, spider, or other automated device, method, or means to access the Service for any purpose without SWGS's prior express approval through SWGS API, including monitoring or duplicating any of the content on the Service.

8. Take any activity that might harm or defame SWGS's reputation or ratings.

SWGS Human Avatars are avatars that were not generated particularly for you and are already accessible in the Service. They are based on actual individuals and have a lifelike likeness to them. As a result, extra limits exist in order to comply with the licensing conditions with the actors and to safeguard the actors' rights and reputation. You agree not to use any Human Avatars (without SWGS's prior written approval) in addition to the normal restrictions:

1. For television broadcasting content.

2. On any social media platform or comparable medium, in content for "promoted," "boosted," or "paid" advertising.

3. As part of or as part of non-fungible tokens (NFTs) or comparable content.

4. To send or cause to be sent any commercial or promotional material, such as "junk mail," "chain letters," "spam," or any other similar solicitation.

5. To depict SWGS Human Avatar in Content in a manner that a reasonable person would find objectionable, such as presenting Human Avatar as suffering from or medicating for any medical condition, including addiction.

6. To use SWGS Human Avatar in Content with restricted or not age-appropriate goods or services, such as alcohol, cigarettes, nicotine (including vaping items), psychotropic drugs, guns, gambling, preservatives, sex toys, escort services, dating services, adult entertainment venues, and similar.

7. In content where SWGS Human Avatar expresses an opinion, including expressing personal preferences or experiences as if they were SWGS Human Avatar's preferences or experiences.

8. In content in which SWGS Human Avatar makes any form of factual comment on religion, politics, racism, gender, sexuality, or other themes known to be sensitive to specific groups.

9. To generate trademarks, design marks, service marks, or other registrable or protected rights.

SWGS may monitor Your Content for violations of the Acceptable Use Policy, but it is not obligated to do so. If Your Content is recognized as potentially violating the Acceptable Use Policy, the request for content production may be manually reviewed or automatically refused. SWGS has the right to determine whether Your Content violates this Acceptable Use Policy and to reject Your Content production request in its sole discretion. If any of Your Content is found to be in violation of this Acceptable Use Policy after it has been created, You must remove, cease distributing, and recall the infringing Content promptly, both online and offline. In the case of a blatant or persistent violation of the Acceptable Use Policy, we may immediately terminate Your access to the Service.

11. Confidential Information

"Confidential Information" refers to the Agreements' specific terms and conditions, as well as any non-public technical or business information about a party, such as techniques, algorithms, know-how, current and future products and services, research, engineering, designs, financial information, procurement requirements, manufacturing, customer lists, business forecasts, marketing plans, and any other information that is not publicly available.

Both SWGS and Business Customer will only use the other's Confidential Information as needed to perform under the Agreements, and will not use or disclose such information during or after the relationship ends. Both SWGS and Business Customer will only reveal the Confidential Information of the other party to individuals or organizations that need to know the information to execute their obligations under the Agreements. These duties will continue to exist in full force and effect indefinitely.

Nothing in the Agreements prevents either SWGS or Business Customer from disclosing the other party's Confidential Information if required to do so by a judicial or governmental order ("Required Disclosure"); provided, however, that the disclosing party must: I give the other party prompt written notice of such Required Disclosure prior to disclosure; and (ii) cooperate with the other party if the other party elects to oppose such disclosure or seek a protective order.

12. Analytics

Third-party service providers may be used to monitor and analyze how our Service is used.

Minors are not permitted to use this product.

Individuals who are at least sixteen (16) years old may access and utilize the Service.

You warrant and represent that you are at least sixteen (16) years old and have the entire power, right, and ability to enter into this agreement and abide by all of the terms and conditions of these Terms by accessing or using the Service.

If You are not at least sixteen (16) years old, You are not permitted to access or use the Service and should cease doing so immediately.

14. Accounts

When you establish an account with us, you agree to supply us with accurate, full, and up-to-date information at all times. If You provide inaccurate, incomplete, or outdated information, Your account on the Service may be immediately terminated.

You are responsible for keeping Your account and password secure, including limiting access to Your device and/or account. Whether Your password is with our Provider or a third-party service, you agree to take responsibility for any and all activities or acts that occur under Your account and/or password. If you become aware of a security breach or unauthorized use of Your account, you must contact us immediately.

Without prior authorization, you may not use as a username the name of another person or entity, a name or trademark that is not legally accessible for use, or a name or trademark that is subject to the rights of any person or entity other than You. Any name that is rude, vulgar, or indecent may not be used as a username.

15. Provide a customer reference

You agree that SWGS may I identify you as a recipient of Service and use your name and logo in sales presentations and on the SWGS website, as well as with prior approval in marketing materials and press releases, and (ii) develop a brief customer profile for promotional purposes on any websites owned and/or controlled by SWGS, with prior approval.

16. Intellectual Property Rights

SWGS Limited and its licensors own and control the Service, including all original content (except any Content submitted by You or other users), features, and functionality.

Copyright, trademark, and other laws from other countries protect the Service. Without our prior written approval, our trademarks and trade dress may not be utilized in conjunction with any product or service.

SWGS reserves exclusive ownership of all rights (including intellectual property rights), title, and interest in and to the Service, as well as any connected material and technology, which you recognize and accept. You will not get any rights, titles, or interests in or to the Service, its content, or technology.

SWGS owns or has permission to use all material accessed on or through this Service. Without our explicit prior written consent, you may not distribute, edit, transmit, reuse, download, repost, copy, or use such material, in whole or in part, for commercial or personal advantage. Third-party owned or developed portions of the SWGS Content are licensed or transferred via SWGS. Background images for enterprise accounts, for example, are provided by Shutterstock (https://www.shutterstock.com/licence), and do not include content marked as "editorial use only" by Shutterstock; audio files generated by text-to-speech functionality are provided by various integrated text-to-speech services, which either grant SWGS sole ownership or an exclusive, sub-licensable license. Third-party licenses or ownership given to SWGS will not limit the license offered hereunder. SWGS will only provide third-party material that may be licensed to You in full compliance with the terms of this license.

No reverse engineering is permitted.

You undertake not to reverse engineer (or try to reverse engineer) any component of the Service or its content at any time, nor will you allow any third party to do so.

18. Feedback and Error Reporting

You may send us information and comments about faults, suggestions for improvements, ideas, issues, complaints, and other topics relating to our Service directly to info@rejoice.com ("Feedback").

You acknowledge and agree that: I you will not retain, acquire, or assert any intellectual property rights or other rights, title, or interest in or to the Feedback; (ii) we may use the Feedback to improve the Service or any other technology; (iii) we may have development ideas that are similar to the Feedback; (iv) the Feedback does not contain confidential or proprietary information from You or any third-party; and (v) we are not under any obligation of confidentiality.

You thus give SWGS and its affiliates an exclusive, transferable, irrevocable, royalty-free, sub-licensable, permanent right to use (including copying, modifying, creating derivative works, publishing, distributing, and commercializing) the Feedback in any means and for any purpose.

19. Hypertext Links to Other Websites

Links to third-party web sites or services that are not owned or managed by SWGS may appear on our Service.

SWGS has no control over, and takes no responsibility for, any third-party web sites or services, including their content, privacy policies, or practices. We make no representations or warranties about any of these entities/individuals or their websites.

SWGS shall not be responsible or liable, directly or indirectly, for any damage or loss caused or claimed to be caused by or in connection with use of or reliance on any such content, products or services available on or through any such third-party web sites or services.

We highly urge You to read any third-party web sites or services' terms of service and privacy policies before using them.

20. Disclaimer of Liability

SWGS PROVIDES OUR SERVICE AND ANY CONTENT ON AN "AS IS" AND "AS AVAILABLE" BASIS. SWGS MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES ABOUT THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS CONTAINED THEREIN. YOU AGREE THAT YOUR USE OF THE SERVICE AND ANY CONTENT ON IT IS AT YOUR SOLE RISK.

SWGS MAKES NO WARRANTY OR REPRESENTATION ABOUT THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE TO THE EXTENT PERMITTED BY APPLICABLE LAW. WITHOUT LIMITING THE FOREGOING, SWGS DOES NOT REPRESENT OR WARRANT THAT THE SERVICE, ANY CONTENT THEREIN, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES.

THE ABOVE DOES NOT AFFECT ANY IMPLIED WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. APPLICABLE CONSUMER LAWS MAY NOT ALLOW SOME OF THE EXCLUSIONS AND LIMITATIONS SET OUT ABOVE IF YOU ARE A CONSUMER WITH YOUR HABITUAL RESIDENCE IN THE USA ECONOMIC AREA, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

21. Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WILL DEFEND, INDEMNIFY, AND HOLD SWGS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, COSTS, EXPENSES (INCLUDING LEGAL FEES), CLAIMS, COMPLAINTS NOTWITHSTANDING THE FOREGOING, SWGS RESERVES THE RIGHT TO PARTICIPATE IN THE DEFENSE OF AND SETTLEMENT NEGOTIATIONS RELATING TO ANY THIRD-PARTY CLAIM, COMPLAINT, DEMAND, ACTION, SUIT, OR PROCEEDING WITH COUNSEL OF OUR CHOICE AT OUR OWN COST AND EXPENSE.

SWGS WILL NOT BE LIABLE TO YOU FOR ANY LOSS OF PROFITS, SALES, BUSINESS, OR REVENUE, BUSINESS INTERRUPTION, LOSS OF ANTICIPATED SAVINGS, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL OR REPUTATION, OR ANY INDIRECT OR CONSEQUENTIAL DAMAGE RESULTING FROM YOUR USE OF THE SERVICE OR ANY CONTENT THEREIN IN ANY EVENT OR UNDER SWGS'S TOTAL AGGREGATE LIABILITY ARISING FROM, IN CONNECTION WITH, OR RELATING TO THESE TERMS, THE SERVICE, OR ANY CONTENT THEREIN WILL IN NO EVENT AND UNDER NO CIRCUMSTANCES EXCEED: (I) THE AMOUNT OF THE PURCHASE GIVING RISE TO THE RELEVANT DISPUTE; OR (II) THE AMOUNT OF ONE-THE DISPUTES TO THE EXTENT PERMITTED BY APPLICABLE LAW, NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR LIMIT OUR LIABILITY.

22. Termination

If You violate these Terms, we may immediately cancel or suspend Your account and/or prohibit Your access to the Service without prior notice.

You may terminate your use of the Service at any time. Please contact us if you desire to close your account. Your account will be terminated at the conclusion of the current Billing Cycle, and you will not be entitled to a refund of your purchase unless otherwise stated in "8. Refund."

All provisions of these Terms that, by their nature, should survive termination, such as ownership provisions, warranty disclaimers, indemnification, and limits of liability, shall survive termination.

23. Governing Law

The Agreements, as well as any disagreement or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), are governed by English law. Any dispute (including any non-contractual claim or dispute) that has occurred or may arise out of or in connection with the Agreements shall be resolved exclusively by the USA Courts.

If you are a Consumer with your usual residence in the United States Area, you may be entitled to extra rights and protection under the laws of your home country, and nothing in these Terms will impact the enforcement of these additional rights and protection.

24. Service Modifications

We retain the right, at our sole discretion, to remove or alter our Service, as well as any service or content we offer through the Service, without notice. We shall not be responsible if all or part of the Service is unavailable at any time or for any period due to any cause. We may limit access to any parts of the Service, or the whole Service, to users, including registered users, from time to time.

25. Modifications to the Terms

We reserve the right to change these Terms at any moment by publishing the new Terms on this website. It is Your duty to check these Terms on a regular basis. These conditions take effect immediately after they are posted, unless You have an active Subscription, in which case they will take effect thirty (30) days after they are posted. We may inform You through Your registered e-mail address if any amendment to these Terms has a major effect on Your rights or responsibilities.

You agree to be bound by the updated Terms if you continue to access or use our Service after such amendments become effective. You are no longer authorized to use the Service if you do not agree to the updated Terms.

26. Waiver

SWGS's waiver of any term or condition set forth in these Terms will not be construed as a further or continuing waiver of that term or condition, or of any other term or condition, and SWGS's failure to assert a right or provision under these Terms will not be construed as a waiver of that right or provision.

27. Sever-ability

If any part of these Terms is found to be invalid, unlawful, or unenforceable by a court or other tribunal of competent jurisdiction for any reason, that provision will be removed or restricted to the bare minimum, leaving the other sections of these Terms in full force and effect.

28. Assignment

We may assign our rights and responsibilities under these Terms to another entity. If this occurs, we will notify You in writing and ensure that the transfer does not impair Your rights.

You may not assign or transfer any of Your rights or obligations under these Terms without our prior written agreement.

29. Acknowledgement

YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY THEM BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US.

30. Legal Disputes

Legal disputes Arbitration, on the other hand, is a private process in which both parties agree that an arbitrator (a neutral third party) will render a binding decision. If any legal matter can’t be resolved between Southwest GS ENT Group, LLC (SWGS) and the Customer, all court proceedings will take place in Houston, TX in Harris County Courts. SWGS representatives, including the owners have the right to defend themselves without legal representation, but if legal representation is needed by SWGS, the Customer agree to pay any and all legal fees incurred by SWGS involved in any law suits and/or litigation on matters, which can’t be resolved via arbitration.
